LEGAL INFORMATION

Terms & Conditions

These Terms set the baseline rules for using the Techcrest Marketing website and engaging us for digital services. Project-specific proposals and agreements may add to or replace parts of these Terms.

Last updated: October 14, 2026

IMPORTANT

Read these Terms together with your project agreement.

These general Terms are designed to provide a clear legal baseline. If Techcrest Marketing provides you with a proposal, statement of work, service agreement, or other written contract, that project-specific document controls wherever it expressly differs from these Terms.

Nothing on this page is intended to remove rights that cannot legally be waived.

Where applicable law gives a client or website visitor mandatory rights, those rights continue to apply. Terms such as liability limits, refunds, termination rights, and jurisdiction operate only to the maximum extent permitted by law.

01

Acceptance of these Terms

These Terms & Conditions (“Terms”) govern your access to and use of the Techcrest Marketing website and, where applicable, the baseline terms on which Techcrest Marketing (“Techcrest,” “we,” “us,” or “our”) provides website design, development, eCommerce, search engine optimisation, local SEO, advertising, content, branding, maintenance, analytics, consulting, and related digital services.

By using this website, submitting an enquiry, approving a proposal, paying an invoice or deposit, or otherwise engaging Techcrest for services, you agree to these Terms to the extent they apply to you. If you enter into a signed proposal, service agreement, statement of work, or other written contract with us, that document will govern the specific project and will take precedence over these Terms to the extent of any direct conflict.

02

Eligibility and authority

You represent that you are legally capable of entering into binding agreements and, if acting on behalf of a business or other organisation, that you have authority to bind that organisation. You are responsible for ensuring that all information you provide to us is accurate, complete, and not misleading.

03

Website information

Content on this website is provided for general informational and marketing purposes. It is not a binding offer unless expressly stated otherwise. Service descriptions, examples, timelines, pricing guidance, platform references, and recommendations may change over time. For broader limitations that apply to website content, please review our Disclaimer.

04

Proposals, estimates, and scope

Unless otherwise stated in writing, quotations and proposals are based on the information available at the time they are prepared and may expire after the validity period shown in the proposal. A project scope includes only the deliverables, features, services, revision allowances, and responsibilities expressly identified in the applicable written proposal or agreement.

Items not specifically included are considered outside scope and may require a separate estimate, change order, additional invoice, or revised timeline. Verbal discussions, informal messages, examples, mockups, or assumptions do not expand the agreed scope unless confirmed by us in writing.

05

Client responsibilities

You agree to provide, in a timely manner, the information, approvals, credentials, content, brand assets, product data, access, feedback, legal notices, and other materials reasonably required for us to perform the services. You are responsible for the accuracy, legality, ownership, and suitability of materials you supply.

You are also responsible for reviewing deliverables and providing consolidated feedback within requested review periods. Delays in content, access, approvals, decisions, payments, or feedback may delay the project and may require rescheduling based on our availability.

06

Approvals and deemed acceptance

Where we request approval of strategy, structure, design, copy, staging builds, launch readiness, or other milestones, your approval authorises us to proceed to the next stage. Changes requested after an approved milestone may be treated as additional work.

If you do not provide feedback within a reasonable review period specified by us, we may pause the project, move it in our production schedule, or treat the relevant deliverable as accepted for scheduling purposes, subject to any rights that cannot be excluded under applicable law.

07

Fees, deposits, and payment

Fees, payment schedules, deposits, retainers, recurring charges, and billing milestones are set out in the applicable proposal, invoice, or agreement. Unless stated otherwise, invoices are due by the date shown on the invoice and amounts are stated in Canadian dollars.

Deposits and advance payments reserve production time and compensate for planning, onboarding, and capacity allocation. To the maximum extent permitted by applicable law, deposits and payments for work already performed, committed capacity, non-cancellable third-party costs, or completed milestones are non-refundable unless our written agreement states otherwise.

You are responsible for applicable taxes and for third-party costs that are identified as your responsibility, including hosting, domains, premium software, advertising spend, payment processing, subscriptions, licensed assets, or platform charges.

08

Late payments and suspension

If an invoice becomes overdue, we may pause work, withhold deliverables, delay launch, suspend ongoing services, or reschedule the project until the account is brought current. Where permitted by law and stated on an invoice or agreement, overdue balances may be subject to reasonable administrative charges, interest, collection costs, or reactivation fees.

We are not responsible for consequences arising from a suspension caused by non-payment, including missed campaign dates, delayed launches, loss of platform access, or third-party service interruptions.

09

Changes, revisions, and additional work

Reasonable revisions within the agreed scope are included only to the extent described in the applicable proposal. A “revision” means an adjustment to an agreed direction, not a new concept, new feature, replacement strategy, or materially different scope.

Requests that add pages, features, integrations, campaigns, audiences, products, content, design directions, technical requirements, or other work may be quoted separately. We may require written approval of additional fees and timeline changes before beginning out-of-scope work.

10

Timelines and scheduling

Project timelines are estimates unless a written agreement expressly states that a date is guaranteed. Timelines depend on timely client cooperation, approvals, access, third-party availability, technical conditions, and the scope remaining stable.

If a project is inactive because we are waiting on the client for an extended period, we may archive or pause the project and reschedule its continuation based on current availability. A restart or reactivation fee may apply if stated in the project agreement or reasonably required due to remobilisation.

11

Third-party products and services

Our work may rely on third-party platforms, plugins, themes, APIs, hosting providers, domain registrars, payment processors, search engines, social networks, ad platforms, analytics tools, email systems, stock libraries, software products, or other external services. These are controlled by their respective providers.

We do not guarantee the continued availability, pricing, compatibility, security, performance, policies, approval processes, account status, or functionality of third-party services. Changes by a third party may require additional work, alternative solutions, or additional costs.

12

Domains, hosting, accounts, and credentials

Unless specifically agreed otherwise, you are responsible for maintaining ownership and payment of your domain names, hosting, email services, advertising accounts, analytics properties, social accounts, payment gateways, and other business-critical accounts. Where practical, these accounts should be registered in your business name and under contact details you control.

You are responsible for safeguarding account credentials and for promptly revoking or changing access when appropriate. We are not responsible for losses caused by compromised credentials, unauthorised access outside our reasonable control, or client-side account administration.

13

Client content and legal compliance

You represent and warrant that you have all rights, licences, consents, and permissions necessary for content and materials you provide to us, including text, images, video, logos, trademarks, customer data, product information, testimonials, and other intellectual property.

You are responsible for the legality and regulatory compliance of your products, services, promotions, claims, disclosures, terms, privacy notices, accessibility obligations, cookies, email practices, contests, advertising claims, and industry-specific requirements. Unless expressly included in writing, Techcrest does not provide legal, tax, accounting, regulatory, or compliance advice.

14

Intellectual property — Techcrest materials

Techcrest retains ownership of its pre-existing intellectual property, know-how, methodologies, processes, templates, frameworks, reusable components, internal tools, development techniques, concepts, and materials created independently of your project. Nothing in a client engagement transfers ownership of those underlying materials unless expressly agreed in writing.

Where our pre-existing materials are incorporated into a final deliverable, you receive the licence reasonably necessary to use the final deliverable for its intended business purpose, subject to full payment and any third-party licence terms.

15

Intellectual property — final deliverables

Subject to full payment of all amounts due and any specific terms in the project agreement, rights in custom final deliverables created specifically for you will be assigned or licensed as described in the applicable proposal or agreement. Drafts, rejected concepts, unused directions, working files, source materials, internal notes, and preliminary concepts remain our property unless expressly included in writing.

No transfer of rights takes effect while invoices relating to the relevant work remain unpaid.

16

Third-party licences and open-source materials

Third-party themes, fonts, plugins, stock assets, software, libraries, code, APIs, and other licensed materials remain subject to their own licence terms. We cannot transfer rights that we do not own. You may be responsible for maintaining subscriptions or licences required for continued use, updates, support, or functionality.

17

Portfolio and promotional use

Unless confidentiality has been agreed in writing before public use, you grant Techcrest permission to identify your business as a client and to display completed public-facing work, screenshots, branding, project descriptions, and non-confidential outcomes in our portfolio, proposals, social channels, award submissions, case studies, and marketing materials.

We will not intentionally disclose confidential business information in portfolio materials. If you require a non-disclosure arrangement or restrictions on portfolio use, those restrictions must be agreed in writing.

18

SEO, local search, and search engines

SEO and local search services are intended to improve technical quality, relevance, visibility, and discoverability, but search engines independently determine indexing and rankings. We do not guarantee specific positions, traffic, impressions, leads, sales, Google Maps placement, Map Pack visibility, review volume, or timeframes for results.

Search engines may change algorithms, features, policies, and interfaces without notice. We are not responsible for ranking changes caused by algorithm updates, competitor actions, manual actions, third-party changes, client changes, technical issues outside our control, or inaccurate or incomplete information supplied by the client.

19

Advertising and campaign performance

Advertising performance depends on factors including budget, competition, audience, offer, creative, platform rules, account history, seasonality, landing-page quality, and market conditions. We do not guarantee impressions, clicks, conversions, cost per lead, return on ad spend, sales, or revenue.

Unless stated otherwise, media spend is paid directly by the client to the advertising platform and is separate from our management or creative fees. Platform charges, taxes, rejected ads, account reviews, suspensions, disapprovals, and policy changes remain subject to the platform’s rules.

20

Website accessibility

We aim to follow reasonable modern web practices, but no website can be represented as universally compliant with every accessibility standard, law, assistive technology, browser, device, or user need unless a specific accessibility scope and testing standard are expressly included in writing. Ongoing content changes made after launch can also affect accessibility.

21

Security, backups, and maintenance

No website, server, network, or software can be guaranteed to be completely secure or continuously available. Unless a written agreement includes managed maintenance, backups, security monitoring, or recovery services, you are responsible for arranging ongoing updates, backups, security, and hosting administration after handoff or launch.

Even where maintenance services are provided, we do not guarantee that every vulnerability, outage, attack, malware event, data loss, or third-party failure can be prevented. Recovery work beyond the agreed maintenance scope may be billed separately.

22

Data, privacy, and personal information

Our handling of personal information collected through this website is addressed in our Privacy Policy. For client projects, each party is responsible for complying with the privacy and data-protection obligations that apply to its own activities.

You are responsible for determining what privacy notices, consent mechanisms, cookie disclosures, data-processing terms, retention rules, and security controls your business requires. If we process personal information on your behalf, any additional data-processing obligations should be documented in the applicable agreement.

23

Confidentiality

Each party should protect non-public business information received from the other party and use it only for legitimate project purposes. Confidential information does not include information that is public through no breach, already lawfully known, independently developed, or lawfully obtained from another source.

We may disclose information where reasonably required to our personnel, contractors, professional advisers, service providers, or where required by law, provided appropriate confidentiality obligations apply where relevant.

24

Subcontractors and service providers

We may use employees, independent contractors, specialists, hosting providers, software vendors, or other service providers to perform portions of the work. Techcrest remains responsible for managing the agreed client relationship, while third-party providers remain responsible for their own services and platforms.

25

Warranties and disclaimers

We will provide services with reasonable care and skill consistent with the scope agreed in writing. Except for warranties that cannot legally be excluded, all other warranties, representations, conditions, and guarantees — whether express, implied, statutory, or otherwise — are excluded to the maximum extent permitted by applicable law.

Without limiting the above, we do not warrant that a website, campaign, integration, platform, search result, software product, or third-party service will be uninterrupted, error-free, secure, compatible with every device or future technology, or achieve a particular commercial result.

26

Limitation of liability

To the maximum extent permitted by applicable law, Techcrest will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, data, search rankings, advertising performance, or third-party platform access, arising from or related to this website or our services.

To the maximum extent permitted by applicable law, our aggregate liability arising out of a specific paid engagement will not exceed the fees actually paid to Techcrest for the specific services giving rise to the claim during the six months immediately preceding the event giving rise to liability, or, for a one-time project completed in less than six months, the fees paid for that specific project. This limitation does not apply where liability cannot legally be limited or excluded.

27

Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold Techcrest, its owners, personnel, contractors, and service providers harmless from third-party claims, losses, liabilities, damages, and reasonable costs arising from: materials or instructions supplied by you; your products or services; unlawful, infringing, misleading, or non-compliant client content; your misuse of deliverables; your breach of these Terms or a project agreement; or your violation of third-party rights.

This clause does not require you to indemnify Techcrest for liability caused solely by Techcrest’s own fraud, wilful misconduct, or other liability that cannot legally be shifted.

28

Suspension and termination

Either party may terminate an engagement as allowed by the applicable proposal or agreement. We may suspend or terminate services immediately where reasonably necessary because of non-payment, unlawful instructions, abusive or threatening conduct, security concerns, material breach, repeated failure to cooperate, misuse of our work, or circumstances that create unreasonable legal or reputational risk.

On termination, you remain responsible for fees for work performed, approved milestones, committed production time where contractually applicable, and non-cancellable third-party costs up to the effective termination date. Any handoff of completed work is subject to payment of outstanding amounts and applicable licence terms.

29

Project inactivity and abandoned projects

If a client becomes unresponsive or fails to provide required materials for an extended period, we may classify the project as inactive, archive working files, remove it from the active production schedule, and invoice completed work. Restarting an inactive project may require a revised schedule, updated pricing, or a reactivation fee where reasonably necessary.

We are not required to retain working files indefinitely. Unless a written agreement states otherwise, we may delete archived project files after a reasonable retention period once the project has ended and all required deliverables have been provided.

30

Chargebacks and payment disputes

If you believe an invoice is incorrect, you agree to raise the issue with us promptly so we have a reasonable opportunity to review it. Initiating a chargeback or payment reversal does not eliminate valid payment obligations for services properly provided. We may suspend services while a payment dispute is unresolved and may seek recovery of valid outstanding amounts and reasonable recovery costs to the extent permitted by law.

31

Prohibited use of this website

You may not use this website to violate applicable law, infringe intellectual property, attempt unauthorised access, introduce malicious code, interfere with site operation, scrape or copy substantial portions of content for commercial exploitation, impersonate another person, submit fraudulent enquiries, or use automated systems in a manner that imposes an unreasonable burden on the website.

We may restrict access or take reasonable protective measures where we believe misuse, abuse, fraud, or security threats are occurring.

32

Force majeure

Neither party will be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, power failures, internet outages, labour disruptions, war, civil unrest, public-health emergencies, government actions, cyber incidents, supplier failures, platform outages, or other force-majeure events. Timelines will be extended as reasonably necessary while the affected event continues.

33

Electronic communications and approvals

You agree that project approvals, notices, proposals, invoices, change approvals, and other business communications may be provided electronically, including by email, project-management tools, forms, or other agreed digital channels. Electronic approvals and records may be relied upon as evidence of instructions and acceptance to the extent permitted by law.

34

Non-solicitation of personnel

Where permitted by law and unless otherwise agreed in writing, during an active engagement and for a reasonable period thereafter, you agree not to knowingly solicit for direct employment or engagement any Techcrest employee or contractor who was materially involved in your project, except through general public recruitment not specifically directed at that person. If a project agreement contains a more specific non-solicitation clause, that agreement controls.

35

No partnership, agency, or employment relationship

Nothing in these Terms or a standard client engagement creates a partnership, joint venture, fiduciary relationship, employment relationship, or authority for either party to bind the other, unless expressly agreed in writing.

36

Assignment

You may not assign or transfer a project agreement or your rights under these Terms without our prior written consent, except as required by law. We may assign these Terms or an engagement in connection with a reorganisation, sale of business, transfer of assets, or use of an affiliated successor, provided doing so does not materially reduce the agreed services.

37

Governing law and jurisdiction

These Terms and any non-contractual obligations arising from them are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in Manitoba, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, the parties agree that disputes will be brought exclusively before the courts located in Manitoba, Canada. Before commencing formal proceedings, the parties are encouraged to make a good-faith effort to resolve the matter directly.

38

Consumer and statutory rights

Nothing in these Terms is intended to exclude, restrict, or waive rights or remedies that cannot lawfully be excluded, restricted, or waived under applicable consumer-protection, privacy, competition, or other mandatory laws. Where a provision would otherwise be unenforceable, it will apply only to the maximum extent permitted by law.

39

Severability, waiver, and interpretation

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect, and the affected provision will be interpreted or limited as closely as legally possible to its intended purpose. A failure or delay in enforcing a right is not a waiver of that right. Headings are for convenience and do not limit interpretation.

40

Entire agreement and order of precedence

These Terms, together with the applicable proposal, statement of work, service agreement, invoice terms, privacy terms, and any written amendments, form the agreement between the parties regarding the relevant services. In the event of conflict, a signed or expressly accepted project-specific agreement or proposal will take precedence over these general Terms for that project.

41

Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, business practices, technology, platforms, or legal requirements. The “Last updated” date will indicate the most recent revision. Updated Terms apply prospectively from the date they are posted or otherwise communicated, except where a separate agreement states otherwise.
